Terms of Service

1. Services
MedPro AI provides a multi-tenant, AI-powered clinical workflow automation platform for medical practices (the "Service"). The Service is accessed via a web browser and includes:
- Patient Management: Comprehensive patient demographic and clinical data management.
- Appointment Scheduling: AI-powered smart scheduling.
- Brigid AI Assistant: An intelligent assistant for clinical documentation.
- Communications: Integrated email, SMS, and voice.
- Billing & Payments: Subscription management and payment processing via Stripe.
2. Use Rights & Restrictions
We grant you a non-exclusive, non-transferable licence to access and use the Service for your internal business operations. You agree not to:
- Resell, sublicence, or lease the Service to third parties.
- Reverse-engineer or attempt to discover the source code of the Service.
- Modify or create derivative works based on the Service.
3. Service Levels
MedPro AI will use commercially reasonable efforts to maintain an uptime of at least 99.9% each calendar month. This excludes scheduled maintenance and force majeure events.
4. Data Ownership & IP
Customer Data: You own all right, title, and interest in and to all data submitted by you or your users to the Service.
MedPro AI IP: We own the platform, software, Brigid AI models, and documentation. No rights are granted except for the limited licence to use the Service.
5. Brigid AI Features — Patient Permissions, Clinician Duties, EU AI Act
Brigid is the AI assistant embedded in the Service. Brigid provides decision support, not autonomous diagnosis. A registered clinician must review and sign every clinical artefact (note, letter, referral, recommendation) Brigid produces before it is released to a patient or third party.
Brigid actions are governed by per-patient permissions the patient owns and can change at any time in the MedYou patient app (Me → What Brigid can do). These permissions are technically enforced: when a patient turns a permission off, the Service will refuse the corresponding action — there is no manual override.
- Default-on (low-risk, opt-out): Drafting letters and referrals, summarising visits, sending administrative reminders. Patients may switch any of these off at any time.
- Default-off (sensitive, opt-in): Voice transcripts of a consultation, and sharing de-identified data with research. The patient must explicitly enable each.
Customer Clinicians acknowledge that:
- They will only initiate Brigid actions for which the patient's permissions are currently enabled.
- They will not attempt to circumvent the permission gates (e.g. by recording outside the Service when a patient has voice transcripts disabled).
- They retain professional responsibility for every clinical decision and document signed in the Service, regardless of Brigid's involvement.
Where Brigid is used as a safety component of a medical device or as standalone clinical decision support, the Service is operated as a high-risk AI system under Regulation (EU) 2024/1689 (the "AI Act"). We maintain the AI Act's required documentation, risk-management, transparency, logging, and human-oversight controls. Customers act as deployers of that system in their own clinical context and must comply with their own AI Act obligations, including informing patients that AI is in use.
6. Limitation of Liability
In no event will either party's aggregate liability exceed the total amount paid by you in the twelve (12) months preceding the first incident out of which the liability arose.
7. Governing Law
This Agreement and any disputes arising out of it will be governed by the laws of Ireland, including the Irish Companies Act 2014 and Sale of Goods and Supply of Services Act 1980. The parties agree to the exclusive jurisdiction of the Irish courts.
